Welcome to European Resource Hub AB, registration number 559441-8203. These Terms of Service ("Terms") govern your access to and use of the European Resource Hub platform, including any content, functionality, and services offered on or through resourcehub.se (the "Platform").
Please read these Terms carefully before using our Platform. By using Resource Hub, you accept and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Platform.
"European Resource Hub", "we", "us", or "our" refers to the company operating the Platform.
"User", "you", or "your" refers to any individual or entity that accesses or uses the Platform.
"Organization" refers to a business entity registered on the Platform.
"Listing" refers to an offer to buy or sell secondary raw materials, products components, equipment and materials that can be used again for their original purpose (reuse), or sidestreams arising from industrial, construction, or other activities which are not the primary intended output of the relevant process, but may have a potential commercial value, posted on the Platform. .
3.1. To use certain features of the Platform, you must register for an account and provide certain information about yourself and your Organization.
3.2. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
3.3. You are responsible for safeguarding your account credentials and for any activities or actions under your account.
3.4. All Organizations must undergo verification before fully accessing the Platform. This verification process may include providing business documentation, licenses, and other information as requested.
4.1. You agree not to use the Platform for any illegal purposes or in violation of any local, state, national, or international law.
4.2. You agree not to post false, inaccurate, misleading, defamatory, or offensive content on the Platform.
4.3. You agree not to interfere with or disrupt the Platform or servers or networks connected to the Platform.
4.4. You agree not to circumvent, disable, or otherwise interfere with security-related features of the Platform.
5.1. Users may post Listings offering to buy or sell secondary raw materials, materials for reuse or side streams arising from industrial activities.
5.2. All Listings must accurately describe the materials being offered, including type, quantity, quality, location, and pricing information.
5.3. European Resource Hub is a platform that facilitates connections between buyers, sellers, and transporters. We do not take ownership of materials, guarantee transactions, or act as a broker.
5.4. Users are solely responsible for ensuring compliance with all applicable laws and regulations regarding the materials they list and transport, including obtaining all necessary permits, licences, and authorisations; conducting appropriate waste characterisation and testing; maintaining required documentation and records; and implementing appropriate environmental and safety controls.
6.1. The Platform and its original content, features, and functionality are owned by Resource Hub and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
6.2. You may not copy, modify, create derivative works of, publicly display, publicly perform, republish, or transmit any of the material on our Platform without prior written consent.
7.1. Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
8.1. In no event shall European Resource Hub, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Platform.
8.2 European Resource Hub does not verify, validate, or guarantee compliance with environmental laws, regulations, or permits applicable to materials listed on the Platform. Users are solely and exclusively responsible for ensuring that all materials listed, transported, processed, or handled through connections made on the Platform comply with all applicable environmental legislation, including but not limited to waste management regulations, hazardous materials controls, cross-border shipment requirements, and environmental protection standards at local, national, and international levels. Euopean Resource Hub makes no representations or warranties regarding the environmental compliance status of any materials, Users, or Organisations on the Platform.
8.3 European Resource Hub does not independently verify, test, analyse, or confirm the accuracy of waste characterisation information, material composition data, hazard classifications, or technical specifications provided by Users in their Listings. All information regarding material type, quality, chemical composition, contamination levels, hazardous properties, and other characteristics is provided by the listing Organisation and has not been verified by European Resource Hub. Users accept full responsibility for conducting their own due diligence, testing, and verification of all material characteristics before entering into any transaction. European Resource Hub expressly disclaims any liability arising from inaccurate, incomplete, or misleading waste characterisation information.
8.4 Users acknowledge and agree that European Resource Hub shall bear no liability whatsoever for environmental damage, pollution, contamination, ecological harm, or environmental remediation costs arising from or related to:
(a) Improper handling, storage, transportation, processing, or disposal of materials listed on or transacted through the Platform;
(b) Failure to comply with waste management regulations, environmental permits, or hazardous materials handling requirements;
(c) Mischaracterisation or misidentification of waste materials or secondary raw materials
All liability for environmental damage remains exclusively with the User(s) responsible for the handling, transportation, or processing of the materials. Users agree to indemnify and hold harmless European Resource Hub from any claims, damages, fines, penalties, remediation costs, or legal actions arising from environmental damage caused by their activities
8.5. European Resource Hub does not guarantee that use of the Platform, or any transactions facilitated through the Platform, will comply with all applicable laws and regulations in your jurisdiction. Users are solely responsible for ensuring compliance with all applicable laws and regulations, including but not limited to environmental protection laws, waste management regulations, occupational health and safety requirements, transportation regulations, and import/export controls. Users should seek independent legal and technical advice regarding their regulatory obligations.
9.1. European Resource Hub AB reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
10.1. European Resource Hub reserve the right to change or discontinue features or functionality of the Hub from time to time. European Resource Hub will provide reasonable notice. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
11.1. Registration on the Platform and advertising of materials are free of charge. If a transaction is completed between a buyer and a seller through the Platform, both parties shall use the bank designated by European Resource Hub as the payment channel. The parties accept that an amount equal to 2% of the sale price shall be deducted from the payment and paid directly to European Resource Hub.
11.2. Notwithstanding Clause 11.1, the parties may enter into a separate written agreement that deviates from the provisions of Clause 11.1. In the event of any conflict, such separate written agreement shall prevail.
12.1. The Hub is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied or statutory, including any warranties of accuracy, completeness, reliability, availability, merchantability, fitness for a particular purpose, non-infringement or uninterrupted operation. European Resource Hub AB is not a licensed financial adviser, investment firm or registered broker-dealer and is not supervised by any financial supervisory authority. No information provided by European Resource Hub AB constitutes securities brokerage, investment, tax, accounting or legal advice, or an endorsement, recommendation or advice tailored to a User’s particular circumstances. For the avoidance of doubt, the payment arrangement described in Clause 11.1 does not mean that European Resource Hub AB provides clearing or settlement services. Any payment arrangements are governed by the separate Payment Agreement between the relevant buyer and seller.
13.1. These Terms shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of laws principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of Stockholm District Court (Stockholms tingsrätt).
